Dagsorden
- The Board of Directors’ review of the previous year.
- Presentation of the annual report for adoption, proposal for the allocation of profit for the year, any proposals for the allocation of proceeds in relation to asset realisations as well as approval of the remuneration of board members, cf Article 19(6) of the Articles of Association.
- Proposals submitted by the Board of Directors or investors.
- Proposals submitted by the Board of Directors:
a) To amend the Articles of Association where the wording “… expected to make a positive contribution to sustainable development” is deleted from the description of Sydinvest Kvalitetsaktier. The ESG category will therefore be changed from High to Medium at the same level as Sydinvest’s other global equity funds.
The reason for proposing the change in the description and the ESG category stems from the fund’s withdrawal from the Nordic Swan Ecolabel as well as the previous change in strategy and name from Sydinvest Bæredygtige Aktier to Sydinvest Kvalitetsaktier, where no change in the ESG category was made at the time.
As a result of the current high ESG category, the fund is subject to stringent ESG re-quirements that are of financial importance and that have an impact on return potential as well as the possibility to control risk relative to the fund’s benchmark. These disadvantages are reduced by changing the ESG category.
b) To change the strategy of the fund Sydinvest USA Value Akkumulerende KL from a value strategy to a quality strategy and at the same time to change the fund’s name from “Syd-invest USA Value Akkumulerende KL” to “Sydinvest USA Kvalitetsaktier Akkumulerende KL”.
The reason for proposing a change in strategy and name is a wish to be able to offer a better aligned strategy to the fund’s investors where focus is on an actively managed fund focusing on quality shares in the US market. The fund has a unit class W only.
At the same time as the change in strategy and name, the fund will change its benchmark from “MSCI USA Value Index” to “MSCI USA Index”. - Election of board members.
The Board of Directors proposes the re-election of the board members standing for re-election. A description of nominated candidates is available at sydinvest.dk. - Appointment of auditor.
The Board of Directors proposes the reappointment of PRICEWATERHOUSECOOPERS STATSAUTORISERET REVISIONSPARTNERSELSKAB.
6) Any other business.
Voting rights and agenda
Any unit-holder of the Investment Fund is entitled to attend the general meeting if the unit-holder has registered for the general meeting no later than five banking days prior to the general meeting by contacting Syd Fund Management. Voting rights may be exercised only in relation to units which have been registered in the name of the relevant unit-holder in the Investment Fund’s books one week prior to the general meeting. Voting rights may be exercised only in relation to units in the concerned classes of units under item 3 which have been registered in the name of the relevant unit-holder in the Investment Fund’s books one week prior to the general meeting.
The agenda and the annual report including the auditors’ report will be available for inspection by the unit-holders at the Investment Fund’s premises and website no later than eight days before the general meeting.

If you do not wish to or are unable to attend the general meeting, you may issue a proxy to the Board of Directors or authorise a person to represent you at the general meeting. Please note that the deadline for issuing proxies is 20 March 2025 at 23:59.
Please note that only coffee and cake will be served at the general meeting this year.
Practical info
The general meeting will be held in Sydbank Salen at Sydbank’s head office at Peberlyk 4 in Aabenraa, Denmark. Please use the main entrance where staff will direct you to Sydbank Salen.
Parking is available via Solbæk where the barrier will be up on arrival and via Peberlyk (limited spaces). The barrier will be down at the Solbæk exit. When leaving, drive forward slowly and the barrier will go up automatically.
The parking spaces closest to the main entrance are shown in orange on the map but the entire parking area may be used .
